Terms of Service
1. The Service
QDS Sentinel ("Sentinel," "the Service") is a trading policy oversight service that evaluates proposed or observed actions from user-directed or autonomous trading agents against user-defined policies and records the resulting classifications in an internally hash-chained oversight record. Sentinel is operated by Quantum Data Solutions, LLC ("QDS," "we," "us," or "our").
Sentinel is not a broker-dealer, investment adviser, tax adviser, or financial planner. We do not execute trades, manage money, or provide investment or tax advice. All trading decisions and their consequences remain your sole responsibility.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use Sentinel. By registering, you represent that you meet these requirements. Access is currently limited to beta participants approved by QDS.
3. Account
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree to notify us immediately at hello@qdsventures.com if you suspect unauthorized access to your account.
- You may not share, sell, or transfer your account to another person.
- You are responsible for all activity that occurs under your account.
4. Acceptable Use
You agree not to:
- Use Sentinel for any unlawful purpose or in violation of any applicable securities, financial, or other law.
- Attempt to circumvent or disable guardrail policies in a way that causes harm to yourself, others, or markets.
- Probe, scan, or test the security of the Service without prior written authorization from QDS.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to develop a competing product or service without our prior written consent.
- Transmit any malicious code, viruses, or disruptive data to the Service.
5. Beta Program
Sentinel is currently in closed beta. As a beta participant, you understand that:
- The Service may be incomplete, contain bugs, or change without notice.
- Features may be added, modified, or removed during the beta.
- Your feedback is valuable and we may incorporate it into the product.
- Beta access may be revoked at any time at QDS's sole discretion.
Approved participants may receive a no-charge beta plan with expanded feature access. Beta access will not automatically become a paid subscription. If paid service is offered, you must affirmatively select a paid plan or otherwise authorize billing. We will provide advance notice of material beta-plan changes.
6. Broker Connectivity
Sentinel connects to brokerage accounts through SnapTrade, a third-party brokerage connectivity provider. Sentinel requests data-access connections for supported accounts and uses the resulting account data for oversight. By connecting a broker, you also agree to the applicable SnapTrade and brokerage terms. QDS does not receive your broker password and Sentinel does not place, modify, cancel, or reverse orders in your brokerage account.
Broker data may be delayed, incomplete, unavailable, or based on a periodic snapshot. You are responsible for confirming current account state at your brokerage before relying on any Sentinel classification or report.
7. No Investment Advice
QDS is not a registered investment advisor or broker-dealer. Nothing in or from Sentinel constitutes investment advice, a recommendation to buy or sell any security, or an offer or solicitation to engage in any investment transaction. Past performance of any strategy or guardrail policy is not indicative of future results. Trading involves substantial risk of loss. You bear all risk for your trading decisions and their outcomes.
8. Billing and Subscriptions
Paid plans are billed via Stripe on a monthly subscription basis only after you affirmatively subscribe. By subscribing, you authorize QDS to charge your payment method on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not issue refunds for partial months except where required by law or stated otherwise at checkout.
QDS reserves the right to change pricing with at least 30 days notice. Your continued use after the effective date of a price change constitutes acceptance.
9. Intellectual Property
The Service, including its software, designs, trademarks, and content, is owned by QDS and protected by applicable intellectual property law. These Terms do not grant you any ownership interest in the Service. You retain ownership of your data (account information, broker snapshots, guardrail policies) and grant QDS a limited license to use that data solely to provide the Service.
10. Privacy
Your use of Sentinel is subject to our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. QDS does not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. Guardrail policies evaluated by Sentinel are not guaranteed to prevent losses — they reflect the rules you configure, and you are responsible for the adequacy of those rules.
12. Limitation of Liability
To the fullest extent permitted by applicable law, QDS and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or trading losses, arising out of or related to your use of the Service, even if QDS has been advised of the possibility of such damages. QDS's total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid QDS in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless QDS and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
14. API Access and Developer Use
QDS Sentinel offers a programmatic Guardian Policy Evaluation API ("API") on eligible plans. Access is granted via scoped API keys generated in your account settings. You are responsible for the security of your API keys, prompt revocation of compromised keys, and all requests made using them.
Synthetic and simulated context. The API accepts evaluation requests containing account context (positions, P&L, proposed actions) submitted by you or your application. QDS evaluates your policy rules against the submitted context as-is. QDS makes no representation as to the accuracy, completeness, timeliness, or real-world validity of the context you submit. You are solely responsible for ensuring that context submitted to the API accurately reflects the real situation it purports to describe. Submitting fabricated, misleading, or deliberately incorrect context to obtain a specific evaluation outcome is prohibited.
API responses (ALLOW, DENY, or WARN) are rule-based classifications under the policy you configured. A DENY response does not itself stop an order at a broker; your cooperating application is responsible for honoring the response before order submission. API results are not investment advice, trading signals, or recommendations to buy, sell, or hold any security. You must not present API evaluation results to end users as investment advice, financial guidance, or trading recommendations.
15. API Prohibited Uses
In addition to the general Acceptable Use restrictions in Section 4, you agree not to use the API to:
- Provide, market, or resell investment advice, trading signals, or financial recommendations to third parties based on API evaluation results, unless you hold the applicable regulatory registrations (e.g., RIA, broker-dealer) and have obtained appropriate disclosures.
- Circumvent or attempt to circumvent rate limits (300 requests per minute per API key). Automated retry loops designed to exceed rate limits are prohibited.
- Resell, sublicense, or white-label API access to third parties without a separate written agreement with QDS.
- Submit context that misrepresents account balances, positions, or risk parameters for the purpose of obtaining an evaluation that bypasses your own guardrail rules.
- Use the API to evaluate trading strategies on behalf of third-party accounts unless you are the account holder or have explicit written authorization from each account holder.
- Use automated systems to generate API keys in bulk or share API keys across multiple end-user accounts.
QDS reserves the right to suspend or revoke API access immediately and without notice for violations of this section or for unusual traffic patterns that suggest abuse, security compromise, or unauthorized use.
16. Termination
Either party may terminate at any time. QDS may suspend or terminate your account immediately if you violate these Terms or for any other reason at our discretion. Upon termination, your right to access the Service ceases. Provisions that by their nature should survive termination (including Sections 7, 11, 12, 13, and 17) will survive.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Austin, Texas. You waive any right to participate in a class action lawsuit or class-wide arbitration.
18. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
